Terms of Service

1. Agreement to Terms

By accessing or using Nivelo ("the Service"), an AI-powered English lesson planning platform for English teachers and English language teaching centers, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Service. These Terms apply to all users, including solo teachers and academies or schools.

2. Description of Service

Nivelo provides:

  • AI-powered generation of English lesson plans, exercises, worksheets, and flashcards
  • Teaching framework support (TBL, PPP, TTT) for structured lesson creation
  • Student and group management tools with progress tracking
  • Print-ready PDF generation for lessons and materials
  • Lesson network visualization to track curriculum connections
  • Analytics and reporting features for teaching insights
  • Multi-tenant architecture for academies or schools with team collaboration

3. Accounts and Registration

  • You must be at least 18 years old or have parental consent to create an account
  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access or use of your account
  • You are responsible for all activities that occur under your account
  • For academies or schools, administrators are responsible for managing team member access and compliance

4. Subscription Plans and Usage Limits

Nivelo offers various subscription plans with different usage limits:

  • Free Plan (Solo Teachers): Free forever with limited monthly lesson generations and features
  • Pro Plans: Paid plans with increased limits and additional features
  • Organization Plans: Team-based plans with pooled allowances per teacher
  • Usage is limited by your plan. You will receive warnings before reaching limits and can upgrade anytime
  • We reserve the right to modify plan features, limits, and pricing with reasonable notice
  • Refunds are handled on a case-by-case basis. Contact support for refund requests

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Upload or transmit viruses, malware, or any malicious code
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Share your account credentials with others or create multiple accounts to circumvent usage limits
  • Use the Service to create content that is harmful, abusive, discriminatory, or violates others' rights

6. AI-Generated Content

Nivelo uses artificial intelligence to generate lesson content. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or may not always meet your expectations
  • You are responsible for reviewing, editing, and verifying all AI-generated content before use
  • AI-generated content is provided "as-is" without warranties of any kind
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated lesson materials
  • You should use your professional judgment when using AI-generated content in your teaching
  • We are not liable for any consequences arising from the use of AI-generated content

7. Use of YouTube and Third-Party Content

Nivelo provides features that allow you to generate lessons from authentic source materials, including YouTube videos and articles. When using these features, you acknowledge and agree that:

  • YouTube Content: Nivelo accesses publicly available YouTube transcripts and, when necessary, transcribes audio from YouTube videos for educational purposes. You acknowledge that:
    • YouTube content is owned by the respective copyright holders and is subject to YouTube's Terms of Service
    • We only access publicly available content and do not bypass any access controls
    • We do not store full transcripts or video content—only metadata (title, channel, URL) and a brief preview
    • You are responsible for ensuring you have the right to use YouTube content for educational purposes
    • You must comply with YouTube's Terms of Service and any applicable copyright laws
  • Article Content: When using articles from third-party sources:
    • Article content is owned by the respective publishers and copyright holders
    • We only access publicly available articles and provide proper attribution
    • You are responsible for ensuring you have the right to use article content for educational purposes
    • You must comply with the source publication's terms of use and copyright policies
  • Educational Use Only: Content from YouTube videos and articles is used solely for generating educational lesson materials. The generated lessons are adaptations for educational purposes and are not intended to reproduce or redistribute the original content.
  • Attribution: Nivelo automatically includes source attribution (title, channel/publication, URL) with lessons generated from authentic materials. You must maintain this attribution when using or sharing lessons.
  • Fair Use: Your use of source materials through Nivelo may qualify as fair use for educational purposes under applicable copyright law. However, you are solely responsible for determining whether your specific use qualifies as fair use and for obtaining any necessary permissions or licenses.
  • No Storage of Full Content: Nivelo does not store full transcripts or article text in our databases. We only store source metadata and brief previews for reference purposes.
  • Your Responsibility: You are solely responsible for ensuring your use of source materials complies with all applicable laws, including copyright laws, and the terms of service of content providers. Nivelo is not responsible for any copyright infringement or violation of third-party terms that may result from your use of the Service.
  • Indemnification: You agree to indemnify Nivelo against any claims arising from your use of YouTube content, article content, or any other third-party materials through the Service.

8. User-Generated Content and Intellectual Property

Your Content: You retain ownership of all content you create, upload, or input into the Service (lessons, student data, custom materials). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your content solely to provide the Service to you.

Our Content: The Service, including its design, features, functionality, and underlying technology, is owned by Nivelo and protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-transferable, non-exclusive license to use the Service in accordance with these Terms.

AI-Generated Content: Content generated by our AI services is provided for your use. You own the rights to use, modify, and distribute AI-generated content created for your account, subject to these Terms.

9. Student Data and Educational Privacy

If you use Nivelo with student data, you are solely responsible for:

  • Obtaining all necessary consents and authorizations from students, parents, or guardians
  • Complying with applicable student privacy laws (FERPA, COPPA, GDPR, etc.)
  • Ensuring student data is accurate and kept up to date
  • Deleting student data when no longer needed or when requested
  • Using the Service in compliance with your institution's policies and applicable laws

We maintain data isolation between tenants and do not access student data except as necessary to provide the Service. However, we are not responsible for your compliance with educational privacy regulations.

10. Disclaimers and Limitations of Liability

Service Availability: The Service is provided "as-is" and "as-available." We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We may experience downtime for maintenance, updates, or unforeseen issues.

No Warranties: We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability: To the maximum extent permitted by law, Nivelo and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Maximum Liability: Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nivelo and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your violation of any applicable laws or regulations. This includes claims related to student data privacy, content you create or use, and your use of AI-generated content.

12. Termination

By You: You may terminate your account at any time by contacting us or using account deletion features. Upon termination, your access to the Service will cease, and we will delete or anonymize your data in accordance with our Privacy Policy.

By Us: We may suspend or terminate your access to the Service immediately, without prior notice, for any reason, including but not limited to:

  • Violation of these Terms or our Privacy Policy
  • Fraudulent, harmful, or illegal activity
  • Non-payment of fees (for paid plans)
  • Extended periods of account inactivity
  • Any other reason we deem necessary to protect the Service or other users

13. Data Export and Deletion

Upon termination or request, you may export your lesson content and data. We will provide reasonable assistance with data export. After account deletion, we will delete or anonymize your personal information within 30 days, except where retention is required by law. You are responsible for exporting any data you wish to retain before account deletion.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Nivelo operates, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of the appropriate jurisdiction.
